Product: Real Fixed Assets Physical Inventory Cockpit

Status: One-time Purchase (Perpetual License)

1. License Grant and Payment

1.1. Alloy Consulting LLC (hereinafter “Licensor”) grants the Customer (hereinafter “Licensee”) a perpetual, non-exclusive, non-transferable license to use the “Real Fixed Assets Physical Inventory Cockpit” software (hereinafter “Software”) as a SAP Add-on.

1.2. The Software is licensed on a fixed one-time fee basis. There are no recurring subscription fees or hidden costs.

2. Warranty (3 Months)

2.1. The Licensor provides a software warranty for a period of 3 (three) months from the date of purchase.

2.2. Warranty Coverage:

• Correction of critical software bugs in ABAP code, OData services, and Fiori interfaces.
• Ensuring the Software functions in accordance with the provided technical documentation.
• Guarantee of data integrity when using the standard SAP methods integrated into the Software. 

2.3. This warranty does not cover issues caused by third-party modifications or incompatibility with SAP versions not listed as supported at the time of purchase.

3. Technical Support (3 Months)

3.1. The Licensee is entitled to free technical support for 3 (three) months following the purchase date.

3.2. Support Scope:

• Deployment Assistance: Guidance on importing transport requests and initial Add-on installation.
• Configuration: Assistance with setting up inventory statuses, photo attachments, and Cockpit parameters.
• Incident Analysis: Investigation of technical issues and provision of recommendations for resolution. 

3.3. Support is provided remotely via email or the Licensor’s designated ticketing system.

4. Customization and BAdIs

4.1. The Software provides Business Add-Ins (BAdIs) and extension points for the Licensee’s independent adaptation.

4.2. The Licensor is not responsible for the stability or security of the Software if the Licensee modifies the core logic via BAdIs or direct code changes. Such modifications are excluded from the warranty and support scope.

5. Limitation of Liability

5.1. The Software is provided as an automation tool. The Licensor shall not be liable for the accuracy of the Licensee’s financial reporting or any direct/indirect damages arising from the physical inventory process.

5.2. The total liability of the Licensor for any claims under this Agreement is limited to the actual amount paid by the Licensee for the license.

6. Governing Law

6.1. This Agreement is governed by the laws of Ukraine. Any disputes shall be settled in the courts of the Licensor’s place of registration.
